New Mexico LLC: why this U.S. state, and how to form one: EXNNA guide cover, with New Mexico lit on a dotted map of the United States
New Mexico (NM), a U.S. state, lit on the map of the United States.

A New Mexico LLC is a U.S. company formed in New Mexico (NM), a state in the southwestern United States. It costs $50 in State fees, files no annual report, and its public record doesn't have to name the owners. You don't need to live in the U.S. to own one. EXNNA forms it online for $200, State fee included.

Why is New Mexico the best U.S. state for a private LLC?

Two reasons: privacy and upkeep.

New Mexico's Articles of Organization, the filing that creates the company, don't have to list the owners or managers. We sign them as organizer and act as your registered agent, so the public record shows us, not you. See how an anonymous LLC in New Mexico works.

It is also cheap to keep. No annual report, no annual State fee. Delaware, by comparison, charges an annual franchise tax. If you're weighing the options, read New Mexico vs Wyoming vs Delaware.

EIN assistance is optional, at +$50 with your formation. The full breakdown is in what an LLC really costs, and our pricing shows every option.

What name can a New Mexico LLC use?

The name must end in "limited liability company", "limited company", "LLC", "L.L.C.", "LC" or "L.C." (§ 53-19-3). Your first choice may already be taken, so you give us two backups and we file the first one that's available. More in New Mexico LLC name rules.

What does the public record show?

Anyone can search New Mexico's business records. For an LLC formed with EXNNA, the filing shows:

  • The company name, file number and filing date
  • Our registered agent and its New Mexico address
  • Management: "managed or under the authority of a Manager(s)"
  • Member and Manager Information: None Entered
  • EXNNA as organizer

Your name isn't on it.

How do you form a New Mexico LLC online?

The order takes about two minutes: a company name, two backups, the number of members and an email. No ID documents are needed. You sign the service agreement online and pay the total in U.S. dollars or in your local currency, where available, by card.

We file your Articles of Organization with the New Mexico Secretary of State. The State usually approves in 1–3 business days, and your dashboard shows each step as it happens. When the LLC is formed, your Articles and your Operating Agreement (PDF and editable DOCX) are ready to download. Here is how long it takes to form an LLC, step by step.

What does a New Mexico LLC need after it's formed?

Very little. It has to keep a registered agent and a registered office in New Mexico at all times. Ours is included for the first 12 months, and you can renew it from your dashboard for $99 a year. You can also name your own eligible New Mexico agent at the same price. Read what a registered agent does.

If you want a bank account, you'll usually need an EIN, the LLC's federal tax ID. We can apply for it for you with your formation.
