Terms of Service

These Terms of Service (“Terms”) govern your access to the Exnna Formation Dashboard and related services (the “Service”). The Service is operated by Exnna Industries LLC, a Missouri limited liability company (“EXNNA,” “we,” “us,” or “our”).

1. Eligibility and account

You must be at least 18 years old and legally able to enter a contract to use the Service. You agree to provide accurate, current, and complete information, keep it updated, protect your login credentials, and promptly report unauthorized account use. You are responsible for activity under your account.

2. What the Service does

EXNNA provides online administrative assistance for New Mexico LLC formation. The $200 formation package includes preparation and submission of the domestic LLC formation filing, a standard operating agreement with ordinary configuration and basic edits, access to the formation records, and 12 months of registered-agent service beginning on the LLC's formation date when you select our agent. You may instead designate your own eligible New Mexico registered agent; the formation package remains $200 and EXNNA's registered-agent service is not supplied in that case. Optional EIN application assistance costs $50 when purchased with formation, for a combined total of $250 without name reservation, or $79 when purchased separately later. We display the full amount due for the selected order before payment.

Name reservation, where offered, is optional, is included only if expressly selected at checkout, and adds $40 when selected. Registered-agent renewal after the included 12 months costs $99 for each additional 12-month term. Renewal requires a separate purchase or a separately authorized recurring-payment enrollment with its terms presented before consent. Extensive or bespoke operating-agreement drafting requires an individual quote and your approval before work begins; ordinary selections and basic edits to the standard agreement are included.

EXNNA is not a government agency. The Service does not include legal representation, tax preparation, tax advice, accounting, business licenses, foreign qualification, or ongoing compliance filings unless the checkout expressly says otherwise. No attorney-client relationship is created by using the Service. You should consult your own legal or tax adviser for advice specific to your circumstances.

3. Information, authorization, and filings

You authorize Exnna Industries LLC to act as organizer of your new LLC and to have an authorized human representative sign and submit its Articles of Organization in that capacity. EXNNA's organizer role does not make it an owner or manager of your LLC. You authorize EXNNA and the providers engaged to perform your order to use the information and documents you submit for the requested services. You represent that you have authority to provide those instructions and any required consent from other owners or representatives. The registered agent is identified separately in the filing and must consent to appointment as required by the filing process.

You are responsible for reviewing the filing information and documents before submission, responding to requests for missing information, and maintaining accurate company and registered-agent records after formation. You may provide a preferred LLC name and up to two optional alternatives, in order of preference. You authorize us to submit your preferred LLC name or, if it cannot be used, the first available alternative in the order shown, subject to acceptance by the New Mexico Secretary of State. Any different name requires your separate authorization before submission. Government agencies control acceptance, processing times, and issuance of records. We may pause or reject an order if information is incomplete, inconsistent, or appears unlawful.

4. New Mexico anonymity statement

100% ANONYMOUS — Form a U.S. LLC in the State of New Mexico, USA. Keep your name off its public records. Your name stays off New Mexico's public LLC formation filing when you choose EXNNA as organizer and do not elect to list yourself in the public filing. EXNNA is responsible for that public-filing privacy. Later steps may require disclosure of information under applicable law or a provider's verification requirements.

5. EIN assistance

An EIN request is optional and costs $50 with formation or $79 separately. If you select EIN assistance, we show the information to be submitted to the IRS, a federal government agency, and request your authorization before submission. For additional privacy, you can choose to receive the IRS-issued EIN yourself at an address or fax you control, without providing the number to EXNNA unless you later choose to do so. For this option, you authorize the transmission of the application in your dashboard, and no signature on the IRS form is required for that transmission. Under this option, our assistance with sending the application is complete once its transmission is confirmed, and your EIN is shown as issued only if you choose to provide the number or the IRS confirmation. Alternatively, you can authorize a named EXNNA representative as third-party designee to receive the EIN and deliver it in your dashboard. Only this latter option requires a handwritten signature from an authorized signer on the IRS form, with the date and the signer's title, to authorize the IRS to disclose the EIN to EXNNA's representative; a legible photo or scan of the form signed on paper may be uploaded through the dashboard. Both delivery options have the same price. The IRS requires the identification of a real individual who is the LLC's responsible party. If that person has an SSN or ITIN, provide it when required for the application; if the person has neither and is ineligible for both, we will follow the IRS instructions applicable to that situation. The choice of delivery option does not change which responsible-party information must be submitted to the IRS. EXNNA and the registered agent are not designated as the responsible party solely because they assist with formation. The IRS controls its application requirements and decision. EIN assistance does not include tax advice or preparation of tax returns.

If you do not provide the information or authorization needed for optional EIN assistance within 30 days after the request is made available to you, we may close the EIN request after the notices shown in your dashboard. Closing the EIN request does not cancel your LLC formation order.

6. Price and payment

The New Mexico formation package costs $200 in total for the services listed in Section 2. The total is the same if you supply your own eligible registered agent instead of selecting ours. Optional EIN assistance costs $50 when purchased with formation, for a combined total of $250 without name reservation; EIN assistance purchased separately later is $79. The checkout shows one final price. Other optional services, later amendments, and renewals are quoted and accepted separately before payment. Changes to your LLC's records after formation, where offered in the dashboard, are ordered separately from formation and charged at the final total shown before payment: $20 to change the principal business address or the mailing address, or $30 to change both; $50 to change the registered office, or the registered agent to an eligible agent already arranged; a combined total of $60 for either of those changes together with one address change, or a combined total of $70 for either of those changes together with both address changes; and $100 to change the LLC's name, which is ordered on its own. If you select a successor agent with an additional charge, we show the complete final amount before payment. Registered-agent renewal is $99 for each additional 12-month term. The amount displayed for a stablecoin payment is the full amount payable through that method, including any payment-specific amount shown before confirmation; a revised quote requires your approval before payment. Network fees charged directly by your wallet remain visible to you in the wallet transaction. We do not silently treat a short payment as full payment.

You authorize EXNNA and its payment processor to charge your selected payment method for the displayed amount. You must have permission to use that payment method. If a payment is reversed, declined, or disputed, we may suspend work or access while the issue is resolved.

7. Cancellation and refunds

Customer-requested cancellations and registered-agent changes are non-refundable after purchase, because the ordered work and related processing are committed at that point, except where applicable law requires otherwise or the checkout expressly promises a more favorable policy. No unused portion of an existing registered-agent term is refunded if you request a new agent. EXNNA performs every service it sells. If a paid service is not completed as ordered, we complete or perform it again at no additional charge. Contact support@exnna.xyz promptly if you placed an order in error.

If a filing is rejected because of our processing error, we correct and resubmit it at no additional charge. If the rejection resulted from inaccurate or incomplete information you supplied, you may need to purchase additional work and pay any required government or third-party charges, as permitted by law.

8. Registered-agent service

If you select our registered agent, 12 months of service from formation are included in the formation package. If you select your own registered agent, you arrange that agent's consent and service directly; the formation package price remains $200. You may renew our service for a further 12 months for $99. We offer renewal in your dashboard and by email before coverage ends. To decline renewal, simply do not purchase the new term; if you separately enrolled in automatic renewal, you may cancel it before the stated renewal deadline in Dashboard → Registered Agent → Manage renewal, or contact support@exnna.xyz. We will present any optional renewal purchase before charging you; automatic renewal applies only if separately offered and affirmatively authorized. The agent receives service of process and official notices, and handles mail according to the service selected and its stated mail allowance. Ordinary business correspondence, extra scanning, packages, forwarding, and virtual-office features are not included unless the order expressly includes them; any additional handling is quoted before purchase. Keep your company contact details current and arrange renewal or replacement before service ends. If service ends without renewal or replacement, your registered agent may resign under New Mexico law after providing the required notice.

9. Acceptable use

You may not use the Service to violate law, submit false information, infringe another person’s rights, evade sanctions or identity-verification requirements, interfere with the Service, access another customer’s account, or attempt to use a person or entity as a fictitious owner or responsible party. We may suspend or terminate access for misuse or legal compliance.

10. Intellectual property and service availability

The Service, software, branding, and materials are owned by EXNNA or its licensors. We grant you a limited, personal, non-transferable right to use the Service for its intended purpose while your account is active. We may modify or discontinue features, and we do not guarantee uninterrupted availability or a particular government processing time.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EXNNA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EXNNA DOES NOT WARRANT THAT A GOVERNMENT WILL ACCEPT A FILING, ISSUE AN EIN, OR COMPLETE A REQUEST BY A PARTICULAR DATE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXNNA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXNNA’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO EXNNA FOR THE ORDER GIVING RISE TO THE CLAIM. This limit applies to all legal theories and claims in aggregate.

13. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless EXNNA and its personnel from third-party claims, losses, and reasonable expenses arising from your materially inaccurate instructions, unlawful use of the Service, or breach of these Terms. This does not apply to the extent a claim was caused by EXNNA’s own negligence, willful misconduct, or violation of law.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, nonpayment, suspected fraud or unlawful activity, or where required to protect the Service or comply with law. Ending account access does not reverse a filing already submitted or eliminate amounts already due.

15. Governing law and disputes

These Terms are governed by Missouri law, without regard to conflict-of-law rules. Any court proceeding must be brought in a state or federal court located in Missouri, and each party consents to that venue, subject to any non-waivable consumer rights or venue rules that apply.

16. Changes and general terms

We may update these Terms by posting a revised version with a new effective date. Material changes will apply prospectively and will be communicated as required by law. If one provision is unenforceable, the rest remain effective. These Terms govern general use of the website and dashboard; your separately signed Service Agreement, its attached notices, and your order confirmation govern the services, price, and conditions of your specific order. If these Terms conflict with the signed Service Agreement about that order, the signed Service Agreement controls. You may not assign your account or rights without our written consent. Electronic notices and signatures may be used where legally valid.
