Anonymous LLC in New Mexico: how it works: EXNNA guide cover, with New Mexico lit on a dotted map of the United States
New Mexico (NM), a U.S. state, lit on the map of the United States.

An anonymous LLC is an ordinary U.S. company whose owners don't appear on the State's public record. In New Mexico (NM), a U.S. state, the Articles of Organization, the filing that creates the company, don't have to name the owners or managers. EXNNA signs that filing as organizer and acts as your registered agent, so the record shows us. Your name stays off it.

What makes an LLC anonymous?

"Anonymous LLC" is a market name, not a separate legal form. Three things make it private:

  • A state that doesn't ask for the owners. Some states want members or managers named on the formation filing. New Mexico doesn't.
  • Someone else signs. The organizer signs and files the Articles. If you sign yourself, your name is on the record.
  • Someone else is the agent. The registered agent is the company's official address for legal mail, and its name is public too.

EXNNA covers both roles, so the only names a search returns are ours.

Why is New Mexico the best U.S. state for an anonymous LLC?

Privacy is built into the filing, and the company is cheap to keep. A domestic New Mexico LLC files no annual report and pays no annual fee to the Secretary of State. Delaware, by comparison, charges a yearly tax. See how the three compare in New Mexico vs Wyoming vs Delaware.

The State's filing fee is $50 (NMSA 1978 § 53-19-63), and the name must end in a designator such as "LLC" or "L.L.C." (§ 53-19-3).

What does the public record show?

Anyone can search New Mexico's business records and open the filed Articles. For an LLC formed with EXNNA, they show:

  • The company name, file number and filing date
  • Our registered agent and its New Mexico address
  • The principal place of business and mailing address
  • Management: "managed or under the authority of a Manager(s)"
  • Member and Manager Information: None Entered
  • EXNNA as organizer

That's it. No owner, no manager, no personal address.

How do you prove the LLC is yours?

With your Operating Agreement, a private contract signed by the members that says who owns the company and how it's run. It isn't filed with the State. You keep it and show it to whoever needs it, like a bank or a partner.

We prepare it in PDF and editable DOCX. Give us the members' details and it arrives filled in; skip them and the fields come blank for you to complete. More in what an Operating Agreement proves.

Who else sees who owns the LLC?

The public record is what anyone can search, and it stays as filed. Two later steps work differently. If you get an EIN, the LLC's federal tax ID, the IRS asks for a real person as the responsible party. And when the LLC opens an account, the bank runs its own checks on the owners. What does it take to keep the LLC?

Very little. Keep a registered agent in New Mexico at all times. Ours is included for the first 12 months, then $99 a year if you renew. Here is what a registered agent does.

You can form your anonymous LLC online in about two minutes: a company name, two backups, the number of members and an email. No ID documents are needed. You pay the total in U.S. dollars or in your local currency, where available, by card, online. The State usually approves in 1–3 business days. All options are on our pricing.

FAQ

Is an anonymous LLC legal?
Yes. It's an ordinary LLC. New Mexico law simply doesn't require the owners' names on the Articles of Organization.
Do I need to live in the U.S., or have a visa or SSN?
No. You don't need U.S. residency, a visa or a Social Security Number. Everything happens online.
Does a New Mexico LLC file an annual report?
No. A domestic New Mexico LLC files no annual report and pays no annual fee to the Secretary of State. It only has to keep a registered agent in the state.
What happens after the first 12 months?
Our registered agent renews at $99 a year, from your dashboard. Keep one active: without it, the LLC can lose its good standing and you can miss legal notices.
