A U.S. LLC for your crypto business: EXNNA guide cover, with New Mexico lit on a dotted map of the United States
New Mexico (NM), a U.S. state, lit on the map of the United States.

A U.S. LLC for your crypto business is a company of its own. It signs contracts, invoices clients, holds assets and can be the entity behind a protocol or an app. Formed in New Mexico (NM), a U.S. state, the owners' names stay off the public record. EXNNA forms it online, with no U.S. residency, visa or SSN needed.

What can a crypto LLC do for you?

The company acts in its own name, and you act through it.

  • Traders and investors. The LLC holds the assets and trades, with company records kept apart from your personal ones.
  • Partners investing together. Several members, each share written into the Operating Agreement, with clear rules on which decisions need everyone. See what an Operating Agreement covers.
  • Builders. The company behind your protocol or app. It owns the code and the brand, signs with contributors and vendors, and is the counterparty in your terms of service.
  • Founders selling services. Invoice clients and get paid as a company.

Why form a U.S. LLC for crypto in New Mexico?

Crypto is public by design: wallets, votes and commits are open to anyone. Your company's formation record doesn't have to be.

New Mexico's Articles of Organization don't have to list the owners or managers. EXNNA signs them as organizer and provides the registered agent, so the public filing shows us. The member and manager table reads "None Entered". Here is how an anonymous LLC works.

It's also cheap to keep. A domestic New Mexico LLC files no annual report and pays no annual fee to the Secretary of State. Delaware charges a yearly tax, but it's the standard if you plan to raise from U.S. venture funds, and it's coming soon to EXNNA. Compare them in New Mexico vs Wyoming vs Delaware.

What does a crypto LLC need after it's formed?

  • A registered agent in New Mexico at all times. Ours is included for the first 12 months, then $99 a year if you renew.
  • An EIN, the LLC's federal tax ID. You need it for a bank account, payments and taxes. We can get it for you with your formation, or later. See how to get an EIN without an SSN.
  • Clean records. Keep the signed Operating Agreement with the Articles and the EIN letter.

Can a U.S. LLC for crypto open exchange and bank accounts?

Yes. Once formed, the LLC can open a U.S. business account with a bank or fintech, and accounts with exchanges and payment processors. Each one runs its own business verification, usually asking for the Articles, the Operating Agreement, the EIN and who owns the company. More in U.S. bank accounts for non-resident LLCs.

How do you form a U.S. LLC for crypto?

The order takes about two minutes: a company name, two backups, the number of members and an email. No ID documents are needed. You pay the total in U.S. dollars or in your local currency, where available, by card, online. The State usually approves in 1–3 business days.
