How to change registered agent for a New Mexico LLC: EXNNA guide cover, with New Mexico lit on a dotted map of the United States
New Mexico (NM), a U.S. state, lit on the map of the United States.

To change registered agent for a New Mexico LLC, you file a Statement of Change of Registered Agent with the New Mexico Secretary of State. It names the current agent and the new one, and the new agent's address becomes the company's registered office. The State fee is $20, and the filing is done online. The rule that matters most: never leave the LLC without an agent in between.

What is a registered agent, and why would you change it?

A registered agent is the person or company that receives official mail and legal papers for your LLC at an address in the state. New Mexico (NM), a U.S. state, requires every LLC to keep one, with a registered office in New Mexico, at all times. The full role is in what a registered agent does.

Founders usually change registered agent for one of these reasons:

  • The included service period is ending and they prefer another provider.
  • They want a provider with different mail handling or a different address.
  • The current agent is closing or resigning.
  • They now have their own eligible agent in New Mexico.

How do you change registered agent in New Mexico?

  1. Pick the new agent first. It needs a New Mexico business address, which becomes the registered office.
  2. Get the new agent's acceptance. The Secretary of State publishes a Registered Agent Statement of Acceptance for this.
  3. File the Statement of Change. Log in to SOS Enterprise, the State's online portal, choose the form and enter the current and new agent. Paper filings are no longer accepted.
  4. Pay the State fee set by NMSA 1978 § 53-19-63, online.
  5. Tell the old agent and update your records. Banks, payment providers and your Operating Agreement file should show the new address for official mail.

How do you avoid a gap in coverage?

Keep the old agent active until the State accepts the change. Without a registered agent, your LLC may lose its good standing, face administrative revocation by the State and run into banking and contract problems. Worst of all, you could miss a lawsuit or a legal notice.

So the order is simple: new agent ready, Statement of Change filed and accepted, and only then the old service ends.

Does a new agent change what the public sees?

Yes, in one line. The registered agent's name and the registered office are part of the public record, so the new agent replaces the old one there. Your own name only shows up if you become the agent yourself. New Mexico's Articles of Organization don't have to list owners or managers, and changing the agent doesn't change that. How does the registered agent work with EXNNA?

When you form a New Mexico LLC with EXNNA, 12 months of our registered agent service are included. After that, it renews at $99 a year, only if you renew.

You can also name your own eligible New Mexico registered agent when you order, at the same price, without our 12 months. You'll need the agent's signed acceptance and your own principal address. Until we file, you can switch between your agent and ours at no cost.

What does a change of agent not do?

It doesn't change the LLC's name, members or managers, and it doesn't touch your EIN. A new name needs Articles of Amendment, a separate filing. If you're still at the name stage, start with an LLC name search.
