LLC annual report requirements: New Mexico, Wyoming and Delaware
Last verified: 3 min read

LLC annual report requirements depend on the state. A domestic New Mexico LLC files no annual report and pays no annual fee to the State. A Wyoming LLC files a yearly report with a license tax of at least $60. A Delaware LLC files no report but pays a $400 tax every June.
What does each state require every year?
| New Mexico | Wyoming | Delaware | |
|---|---|---|---|
| Annual report | None | Yes, by the first day of the anniversary month | None |
| Yearly state cost | None | $60 or 0.0002 of Wyoming assets, whichever is greater | $400, due June 1 |
| If you're late | Not applicable | See WyoBiz | $200 penalty plus 1.5% interest a month |

Does a New Mexico LLC file an annual report?
No. New Mexico (NM), a U.S. state, asks a domestic LLC for no annual or biennial report and no annual filing fee. That makes it the cheapest of the three to keep. If you're choosing, compare New Mexico vs Wyoming vs Delaware.
What does a New Mexico LLC still have to do?
Three things:
- Keep a registered agent and a registered office in New Mexico at all times.
- Update the State's records when something changes that the law requires you to report.
- Keep the company records the law requires.
The registered agent is the one that matters most. Without one, the LLC can lose its good standing, face revocation by the State and miss lawsuits or official notices. With EXNNA, ours is included for the first 12 months, then $99 a year, only if you renew, from your dashboard. You can also name your own eligible New Mexico agent at the same price. Does a U.S. LLC file a BOI report with FinCEN?
No. FinCEN limits beneficial ownership reporting to foreign entities formed under foreign law and registered to do business in a U.S. state. Entities created in the United States, and their owners, are exempt (FinCEN, BOI). Details in BOI report for a U.S. LLC.
What about federal tax filings?
Those depend on the LLC, not the State. Taxes, payroll and licenses follow the company's activities, its tax classification and where it operates. A single-member LLC owned from abroad, for example, may file Form 5472 with the IRS. EXNNA forms the company; your accountant handles the returns.
Which state is cheapest to keep an LLC in?
Of these three, New Mexico: no report and no annual State fee. Wyoming costs at least $60 a year plus the report. Delaware costs $400 a year, though it remains the standard U.S. venture investors expect.
